1. Website Use
RC Product USA LLC provides information about our services, capabilities, and contact details through www.rcproductusa.com (the “Website”). The Website is intended for informational purposes only and to help you request consultations, estimates, and service appointments.

2. Acceptable Use
You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Website. You must not attempt to gain unauthorized access to any part of the Website, our systems, or any networks connected to the Website.

3. Accuracy of Website Information
We make reasonable efforts to keep the information on the Website accurate and up to date. However, the Website may occasionally contain errors, omissions, or outdated information. The content on the Website is provided for general informational purposes only and should not be relied upon as a substitute for written estimates, proposals, or signed agreements.

4. Estimates and Quotes
Any estimates, quotes, or pricing information provided through the Website, by email, or verbally are for planning purposes only and do not constitute a binding agreement until confirmed in a written estimate, proposal, work order, or service agreement issued by RC Product USA LLC.

5. Scope of Work and Precedence of Agreements
The specific scope of work, deliverables, pricing, and timelines for any project or service will be defined in a written estimate, proposal, work order, statement of work, or service agreement (each, a “Service Agreement”). If there is any conflict between these Terms of Service and a Service Agreement signed by you, the Service Agreement will control for that specific project or engagement.


6. Customer Responsibilities
You are responsible for:
• Providing accurate and complete information about your needs, systems, and environment.
• Ensuring safe, reasonable, and lawful access to your premises, equipment, and network infrastructure.
• Providing timely access to necessary credentials, accounts, and contacts.
• Maintaining appropriate backups of your data and systems, unless a separate written agreement states that RC Product USA LLC is responsible for backups.
• Following reasonable instructions and recommendations provided by RC Product USA LLC.

7. Scheduling, Cancellation, and Rescheduling
Scheduling of onsite or remote services is subject to availability. If you need to cancel or reschedule an appointment, you agree to provide reasonable advance notice. We reserve the right to charge fees for late cancellations, rescheduling, or no-shows as described in your applicable Service Agreement or estimate.

8. Payment Terms
Online payments and checkout are not currently enabled on www.rcproductusa.com. Customers cannot make purchases or card transactions directly through the Website at this time. Unless otherwise stated in a Service Agreement, payment for services is handled outside the Website through invoices or other agreed methods. Payment terms, due dates, and accepted payment methods will be specified in your estimate, invoice, or Service Agreement.

9. Taxes
Applicable sales, use, or other taxes may be charged where required by law and will be reflected in the applicable estimate, invoice, or Service Agreement. RC Product USA LLC is responsible for taxes imposed on its own income.

10. Customer-Owned Equipment and Data
You remain solely responsible for your own equipment, devices, software, and data. RC Product USA LLC does not take ownership of your equipment or data. To the fullest extent permitted by applicable law, we are not responsible for loss of or damage to your equipment or data arising from pre-existing conditions, hardware or software failures, misuse, or other factors outside our reasonable control.

11. Data Backup Responsibilities
Unless expressly stated in a Service Agreement, you are solely responsible for maintaining current and complete backups of all data, configurations, and systems before we perform any work. To the fullest extent permitted by applicable law, RC Product USA LLC is not liable for any data loss, corruption, or recovery costs.

12. Customer Credentials and System Access
To perform services, we may need access to your systems, networks, accounts, or devices, including administrative or elevated credentials. You agree to provide such access as reasonably required and to ensure that you have the authority to grant that access. You are responsible for changing or revoking credentials after services are completed if you deem it appropriate.

13. Third-Party Hardware, Software, and Services
Our work may involve or rely on third-party hardware, software, cloud services, internet service providers, or other vendors. RC Product USA LLC does not control and is not responsible for the performance, security, availability, or terms of any third-party products or services. Your use of third-party products or services is subject to their own terms and conditions, warranties, and privacy policies.

14. Manufacturer Warranties and Workmanship
Any manufacturer warranties on hardware or software are provided by the manufacturer, not by RC Product USA LLC. We are not responsible for manufacturer defects or warranty decisions. Our workmanship warranty, if any, will be described in your Service Agreement or invoice. To the fullest extent permitted by applicable law, we disclaim all other warranties related to our services, whether express or implied.

15. Technology Services
RC Product USA LLC may provide technology-related services, which can include, but are not limited to, onsite support, remote support, networking and infrastructure work, equipment installation, configuration, troubleshooting, assessments, and related technical services. The specific services for your project will be described in your Service Agreement, estimate, or work order.

16. Product Sourcing
RC Product USA LLC may assist with identifying, recommending, or sourcing products, equipment, or materials from third-party vendors. The Website itself is not an active ecommerce purchasing platform, and you cannot complete purchases or card transactions directly through the Website. Any purchases are completed outside the Website, either directly with third-party vendors or through other agreed methods. You are responsible for reviewing and accepting any third-party terms, pricing, and return policies.

17. Technical Assessments and Recommendations
RC Product USA LLC may provide technical assessments, site surveys, network evaluations, equipment recommendations, infrastructure reviews, troubleshooting recommendations, and related advisory services. Any findings, recommendations, diagrams, reports, or technical guidance are based on the conditions and information available at the time of the assessment. Recommendations may require further testing, third-party approval, manufacturer guidance, or additional work before implementation.


18. Customer-Supplied Content
If you provide content, images, logos, text, or other materials for use in any project, you represent and warrant that you have all necessary rights and permissions to use and share that content. You are responsible for ensuring that customer-supplied content does not infringe any third-party rights or violate any laws.

19. Intellectual Property
All intellectual property rights in RC Product USA LLC’s materials, including but not limited to designs, documentation, diagrams, configurations, processes, reports, technical materials, and other deliverables created by us, remain the property of RC Product USA LLC unless otherwise stated in a Service Agreement. Subject to your full payment of applicable fees, you may receive a limited license to use certain deliverables for your internal business or personal use, as described in your Service Agreement.

20. Confidentiality
RC Product USA LLC will take reasonable steps to protect the confidentiality of non-public technical and business information you provide to us in connection with our services, including network information, device details, serial numbers, asset tags, configuration information, credentials, and project documentation. We will not disclose such information to third parties except as required to perform services for you, comply with law, or with your consent.

21. Photographs and Project Documentation
In the course of providing services, we may create photographs, diagrams, notes, or other documentation of your environment, equipment, or project work for internal reference, quality control, and recordkeeping. Such materials are part of our confidential records and are not shared publicly without your authorization, except as required by law.

22. Project Documentation and Promotional Use
RC Product USA LLC will not publicly use customer names, logos, confidential technical information, photographs of customer premises or equipment, network infrastructure, project details, or other identifiable customer information for advertising, case studies, social media, portfolio use, or other promotional purposes without the customer’s express prior authorization.

23. Limitation of Liability
To the fullest extent permitted by applicable law, RC Product USA LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Website or our services, even if we have been advised of the possibility of such damages. To the fullest extent permitted by applicable law, our total aggregate liability for any claims arising out of or related to the Website or our services will not exceed the total amount you paid to RC Product USA LLC for the specific project or service giving rise to the claim.

24. No Guarantee of Third-Party Systems
To the fullest extent permitted by applicable law, RC Product USA LLC does not guarantee the performance, uptime, security, or compatibility of any third-party hardware, software, internet services, or platforms, even if we recommend, configure, or install them. Third-party systems may change, fail, or become unavailable without notice.

25. Indemnification
You agree to indemnify, defend, and hold harmless RC Product USA LLC and its owners, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Website or our services; (b) your violation of these Terms of Service; or (c) your violation of any rights of a third party.

26. Force Majeure
RC Product USA LLC is not responsible for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, severe weather, power outages, labor disputes, war, terrorism, civil disturbances, pandemics, supply chain disruptions, or failures of third-party networks or services.

27. Website Availability
We aim to keep the Website available and functioning, but we do not guarantee uninterrupted or error-free operation. The Website may be temporarily unavailable due to maintenance, updates, technical issues, or factors beyond our control.

28. Warranty Disclaimers
To the fullest extent permitted by applicable law, the Website and our services are provided “as is” and “as available,” without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, except as expressly stated in a Service Agreement.

29. Governing Law and Jurisdiction
These Terms of Service and any disputes arising out of or related to the Website or our services will be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or related to these Terms of Service will be brought exclusively in the state or federal courts located in Minnesota, and you consent to the personal jurisdiction of such courts.

30. Severability
If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

31. No Waiver
The failure of RC Product USA LLC to enforce any right or provision of these Terms of Service will not be deemed a waiver of such right or provision.

32. Entire Agreement
These Terms of Service, together with any applicable Service Agreements, estimates, proposals, work orders, statements of work, and other written agreements, constitute the entire agreement between you and RC Product USA LLC regarding the Website and our services, and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding the same subject matter.

33. Changes to These Terms
We may update these Terms of Service from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Your continued use of the Website after any changes are posted constitutes your acceptance of the updated Terms of Service.
